SOLODE Terms of Sale

Effective date: May 12, 2026

PLEASE READ THESE TERMS OF SALE (THE “TERMS”) CAREFULLY BEFORE ORDERING ANY SOLODE PRODUCT OFFERED BY SUMMIT BEND US CORPORATION (“PRODUCT”). 

NOTICE REGARDING DISPUTE RESOLUTION: FOR CUSTOMERS IN THE UNITED STATES, THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER THAT AFFECT YOUR RIGHTS FOR RESOLVING DISPUTES WITH SUMMIT BEND US CORPORATION. PLEASE READ ARTICLE 16 CAREFULLY.

Article 1: Scope and Agreement

1.1 Parties to the Agreement. These Terms constitute a legally binding contract that governs the purchase and order of any SOLODE Product made by you or the entity you represent (“Customer”, “you”, or “your”) from Summit Bend US Corporation, a corporation incorporated under the laws of the state of Delaware (collectively, “SOLODE”, “we”, “us” or “our”) . 

1.2 Acceptance of Terms. By clicking the “Place Order” or “Place Pre-order” button on our official website soloded.com, you agree to be bound by these Terms to the exclusion of all other terms. If you do not agree to these Terms, you must not purchase any product listed thereon.

1.3 Geographic Applicability. These Terms apply specifically to purchases made from SOLODE by Customers located in the United States.

Article 3: Changes to the Terms and Language

3.1 Right to Modify. SOLODE reserves the right to change the Terms at any time. Changes will not affect Orders or Pre-orders accepted before the changes take effect. 

3.2 Governing language. Any version of these Terms in a language other than English is provided for convenience only. The English version shall govern in the event of any conflict or inconsistency.

Article 4: Order Acceptance

4.1 Accuracy of Information. When placing an Order or Pre-Order, you are required to provide accurate address, billing, and contact information. You represent and warrant that all such information is current and complete. SOLODE is not liable for any loss resulting from your failure to provide correct delivery or contact information.

4.2 Acknowledgement and Acceptance. After you place an Order or Pre-order, we will acknowledge receipt of your request. This acknowledgement does not constitute acceptance. A contract is only formed when we confirm our acceptance of your Order via email.

4.3 Right to Reject or Cancel. SOLODE reserves the right to decline, reject, or cancel any Order or Pre-order, or limit order quantities, at any time for legitimate reasons, including but not limited to:

· Obvious and unmistakable errors in pricing, descriptions, or promotions;

· Invalid or unsupported shipment addresses (including known freight forwarders);

· Payment processing issues or suspected fraud.

If you have already been charged, we will refund you the full amount of the cancelled Order or the adjusted portion of the Order, including applicable taxes and delivery charges.

4.4 Pricing and Taxes. Prices are exclusive of applicable sales tax. Sales tax will be calculated and added at checkout based on your shipping address.

· Payment: Payment is due upon the conclusion of the contract unless otherwise agreed. Available payment methods will be displayed during the checkout process.

Article 5: Shipping and Delivery

5.1 Delivery address. The Product will be delivered to the delivery address specified during the checkout process. You are solely responsible for providing a correct, complete, and current address. SOLODE has no obligation to verify or determine the correct shipping information and is not liable for any loss or mis delivery resulting from inaccurate information provided by you.

5.2. Shipping Options and Costs. The Product will be shipped according to the shipping option selected by you during the ordering process. Shipping costs and estimated dispatch dates will be detailed at checkout.

5.3 Delivery estimates. Dispatch and delivery dates are estimates only and are not guaranteed. While SOLODE will notify you of significant changes impacting the delivery of your Product, SOLODE is not liable for delays caused by carriers, customs clearance, or other factors beyond our reasonable control. 

5.4 Risk of Loss and Title. For all Orders and Pre-orders, the risk of loss and title for the Product pass to you upon physical delivery of the Product to the shipping address specified in your Order.

Article 6. Pre-orders

6.1 Eligibility. You must be at least 18 years old or have legal parental/guardian consent to place a Pre-order or an Order.

6.2 Pre-order Payment. Each Pre-order shall be fully paid upon the conclusion of the Contract of the Product.

6.3 Unclaimed Refunds. If SOLODE is unable to process a refund after a Pre-order cancellation (e.g., due to an expired credit card), we will attempt to contact you. If you do not respond within 90 days, or if the refund remains unsuccessful, SOLODE will handle such funds in accordance with applicable unclaimed property (escheatment) laws in your jurisdiction. You remain responsible for requesting the refund of any such unclaimed amounts.

6.4 Delivery Delays and Cancellation. Dispatch dates for Pre-orders are estimates. If a significant delay arises, we will provide updates via your Contact Information. You may cancel your Pre-order for a full refund of your payment. Once the full purchase price is paid, our standard Cancellation, Return, and Limited Warranty Policies (Articles 7, 10, and 13) will apply.

Article 7. Order Cancellation

7.1 Cancellation Requests. SOLODE strives to process and deliver orders in a timely manner. Prior to the shipment of your Order, you may request cancellation by contacting SOLODE Support at [email protected].

7.2 Confirmation. A cancellation is only effective once SOLODE sends a confirmation email to the address provided in your Order. If the Product has already entered the shipping process, a cancellation may no longer be possible, and you must instead follow the Return process outlined in Article 10.

7.3 Refunds. If a cancellation is confirmed by SOLODE, you are entitled to a full refund of the purchase price. SOLODE strives to process refunds to your original payment method within a reasonable period of time.

Article 8: Geographic Availability

8.1 Supported Regions. SOLODE only ships Products to the United States. If your shipping address is outside of these supported regions, SOLODE reserves the right to reject or cancel your Order or Pre-order.

8.2 Sub-region Restrictions. Please note that not all subregions, territories, or islands of a supported country may be eligible for delivery.

8.3 Use of Freight Forwarders. SOLODE does not officially support the use of freight forwarders or third-party international shipping services. If you choose to use a freight forwarder to ship a Product to a region not officially supported by SOLODE:

· You are the sole exporter of record and are responsible for compliance with all export and import laws.

· SOLODE is not liable for any damage, loss, or customs issues that occur after the Product has been delivered to the freight forwarder’s address.

· Your ability to access warranty services or returns may be severely limited or voided, as SOLODE only provides return labels and repair services within officially supported regions.

Article 9: Environmental Responsibility and E-Waste

9.1 Disposal and Local Laws. When a Product or component reaches the end of its life and can no longer be repaired, it must not be disposed of as unsorted municipal waste. You are responsible for complying with the electronic waste (e-waste) laws and regulations in your specific jurisdiction.

9.2 Regional Requirements. You should utilize municipal or state-sponsored e-waste collection programs for the disposal of your Product. In certain states (e.g., California), a mandatory electronic waste recycling fee may be assessed at the time of purchase as required by law.

Article 10: Returns and Refunds

10.1 14-Day Return Policy. SOLODE offers a voluntary return period. You may request to return an eligible Product for any or no reason within 14 days of the date the Product was delivered to you.

10.2 Eligibility and Condition. To be eligible for a refund, the Product must be returned in its original packaging, including all accessories and components. SOLODE reserves the right to reduce the refund amount or reject the return if the Product shows signs of wear, damage, or unauthorized modification.

10.3 Return Shipping Costs. Unless the Product is being returned due to a confirmed defect covered by our Limited Warranty (Article 13), you are responsible for the costs of shipping the Product back to our designated return center.

10.4 Refunds. Once we receive and inspect the returned Product, we will process the refund to your original payment method within a reasonable period. Original shipping charges are non-refundable.

10.5 Ineligible Items and Detailed Policy. Certain items, such as software downloads, personalized items, or items clearly marked as "Final Sale" at the time of purchase, are not eligible for return or refund. In order to initiate a return, please contact SOLODE Support through [email protected].

Article 11: Use of the Product and Restrictions

11.1 Personal use. SOLODE sells and ships Products to consumers for personal use only. You agree to comply with all laws that apply to your use of the Product.

11.2 Software licenses. Any software incorporated into or provided for use in a Product is licensed, not sold. You are granted a non-exclusive, non-sublicensable license to use such software solely within the Product it was provided with. You may not copy, modify, or use the software for the benefit of any third party.

Article 12: Third-Party Components

12.1 Third-Party Software. The Product contains software owned or supplied by third parties (“Third-Party Components”). Your use of these components is subject to the terms and conditions imposed by those third parties.

12.2 Responsibility. SOLODE is not responsible for the operation of Third-Party Components that are not essential to the core functionality of the Product. Any interaction between you and a third-party provider is solely between you and that provider.

Article 13: Limited Warranty and Warranty Disclaimer

13.1 Limited Warranty. Product purchased directly from solode.com are covered by SOLODEs Limited warranty which starts from the date of delivery (the Limited Warranty).

13.2 Warranty Period. SOLODE provides a 12-month warranty period for the Product purchased from our website. The Limited Warranty covers the hardware components of our Product(s) as originally supplied and Product defects caused by workmanship or build materials. The Limited Warranty does not cover any of the matters listed in section 13.7 (Limited Warranty Exclusions).

13.3 Original country. The Limited Warranty is only redeemable within your original country or region of purchase.

13.4 Repairs and replacement. Any repair and replacement service covered by the Limited Warranty, along with shipping and handling, will be at the expense of SOLODE within the Limited Warranty period specified below.

13.5 Parts and components. SOLODE may use rebuilt, reconditioned or new parts and components when repairing any Product(s). Alternatively, we may replace the defective Product(s) entirely with a rebuilt, reconditioned or new SOLODE Product(s).

13.6 Warranty Claims. To make a claim, please provide your original proof of purchase (such as your receipt(s) or invoice(s)), Product(s) model and serial number of the Product(s), and photo evidence of the Products defects to the SOLODE Support team.

13.7 Limited Warranty Exclusions. The Limited Warranty does not cover:

i. software, consumable items, and accessories, even if packaged and sold together with Product(s);

ii. defects or damage resulting from accidents, neglect, misuse or abnormal use; defects or damage caused by abnormal conditions or improper storage; exposure to liquid, moisture, dampness, sand or dirt, or unusual physical, electrical or electromechanical stress;

iii. scratches, dents and cosmetic damage, unless caused by SOLODE;

iv. devices that have the serial number or similar removed, defaced, damaged, altered or made illegible;

v. ordinary wear and tear;

vi. defects or damage resulting from the use of the Product(s) in conjunction with accessories, products, or ancillary/peripheral equipment that are not furnished or approved by SOLODE;

vii. any physical feature defects or damage resulting from improper testing, operation, maintenance, installation, service, or adjustment not furnished or approved by SOLODE;

viii. defects or damage resulting from external causes such as collision with an object, fire, flooding, dirt, windstorm, lightning, earthquake, exposure to weather conditions, theft, blown fuse, or improper use of any electrical source;

ix. defects or damage resulting from cellular signal reception or transmission, or viruses and other software problems introduced into the Product(s);

x. Products not purchased from SOLODE or authorised resellers (we recommend that you contact the point of sale for support);

13.8 Warranty Disclaimer. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLODE DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Article 14: Limitation of Liability

14.1 Personal Use Only. SOLODE sells and ships Products to consumers for personal use only. If you use the Products for any commercial, business, or re-sale purpose, SOLODE will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

14.2 EXCLUSION OF DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOLODE , ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE PRODUCT.

14.3 TOTAL LIABILITY CAP. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLODE’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PRODUCT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO SOLODE FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

Article 15: General Provisions

15.1 Assignment and Transfer. This contract is between you and SOLODE. You may not assign or transfer your rights or obligations under these Terms to any other person without our prior written consent. SOLODE may transfer our rights and obligations under these Terms to another organization, but this will not affect your rights or our obligations under these Terms.

15.2 Severability. Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.

15.3 No Waiver. If we do not insist immediately that you do anything you are required to do under these Terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

15.4 Entire Agreement. These Terms, including the Order confirmation and any policies referenced herein (such as the Limited Warranty), constitute the entire agreement between you and SOLODE regarding your purchase and supersede all prior agreements or understandings.

Article 16: Governing Law and Dispute Resolution

16.1 Governing Law. These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

16.2 Informal Dispute Resolution. Before either party initiates arbitration, the party must first send a written notice of dispute to the other party describing the nature and basis of the claim and the requested relief. The parties will attempt in good faith to resolve the dispute informally for 30 days after the notice is received.

16.3 Small Claims Court. Either party may bring an individual claim in small claims court if the claim qualifies and remains only in that court.

16.4 Binding Arbitration (United States Customers Only). Except for claims that may be brought in small claims court or claims for injunctive relief described above, you and SOLODE agree that any dispute, claim, or controversy arising out of or relating to these Terms, your Order, or the Product will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration may be conducted by telephone, video conference, written submissions, or in person in the county or state where you reside, unless the arbitrator determines otherwise. The arbitrator will have authority to award the same remedies available in court under applicable law.

16.5 CLASS ACTION WAIVER (United States Customers Only). YOU AND SOLODE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and SOLODE agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.
